THIS IS THE SOLUTION:
The problem does not seem to be with the driver itself. If the 82371 device is shown in the device manager then windows 98 probably chose the correct driver.
Most often it is a resource conflict between the bus master driver and the generic IDE drivers that Windows installs. Since they use the same resources, the device manager reports a conflict.
To remove that yellow exclamation follow this procedure:
1. Select the 82371 driver in the device manager and change the settings to "no IDE channel"
3. Go the the same place and select the resource tab. You will see there is a conflict with the one remaining address. So, manually change the resource to one that does not conflict.
5. Go back to the same place and change the "no IDE channel" back to "default".
7. When Windows comes up it will see new hardware (IDE controllers) and install them.
* You're done!
Go back and check the device manager and you will everything is happy!
