cdrom.sys is a Microsoft file. It's included with the Windows XP os. It's compressed within DRIVER.CAB. This file is written to your hard drive by default during installation of the os. You can get it from that file or you can get it from the OS installation disk.

Just uninstall your optical drive in Device Manager, reboot and the drive will automatically install itself.

Or.... you can extract the file manually using the EXTRACT command from a command line, ie: dos window. Type EXTRACT /? for help with commands (or consult the dos hep manual).

Or you can extract it manually by using the tool Microsoft included with the os. ie: Start, Run, type: "msconfig", click ok, click the Expand File button. Tell it what you want and where you want to write it to and it will restore the file for you. Normally this file (driver.cab) is located in the \WINDOWS\Driver Cache\i386 folder.
